# Non-disclosure agreement (NDA)

A non-disclosure agreement is a signed contract that requires a person to keep a business's private information confidential and not share it with others.

A non-disclosure agreement, or NDA, is a legal promise to protect private information. It can cover client lists, pricing, financial records, plans and passwords. If someone breaks it, the business may have legal options.

An NDA matters whenever an outside person sees your data.
